Study topics include an overview of corporate and organizational governance (definition, history, rationale and meaning, board/management roles and functions, law and regulation, conflicts and tensions); Identification of stakeholders` rights and obligations and key shareholder issues (shareholder activism, impact investing, jurisdictional conflicts with boards of directors and management); legal and market forces are pushing organizations towards more assertive requirements for social responsibility and sustainability; ethics in companies and other organizations; governance and ethics lessons learned from the Great Recession; and custodians, including the lawyer as a business conscience. Students have the opportunity to interact with CEOs and other executives, board members, general counsel, and nonprofit government leaders who participate in class discussions from time to time. Each first-year student has at least two first-semester courses in a small section of about 20 students. These learning communities offer students the opportunity to be mentored by their young professors and form study groups that offer students the opportunity to help each other adjust to law school. In fact, many students make lasting friendships in their small sections. Seven elective programs of study – Law and Government; law and social change; Law and Economics; Law and history; Criminal justice; international and comparative law; and Law, Science and Technology – developed by the Faculty of Law provide pathways to the graduate program. The degree programmes provide students with guidance on how to structure an academic programme that gives them a comprehensive overview of law, policy, theory and practice in their chosen areas of interest. 2 Restrictions.: Not open to Young Women students This course provides a general introduction to the institutions and processes involved in legal legislation and interpretation in the United States, with an emphasis on federal legislation. Topics include the federal legislative process, common law precedent and methodology, federal by-laws, separation of powers, and judicial review. The course also introduces students to the legal sources created by these processes and how research strategies can be developed in relation to these sources. Finally, the course is designed to provide foreign LL.M. students (all of whom are writing a master`s essay to do the LL.M. program) with an overview of the main forms of law in the American Academy. Students receive expert guidance from our Professional Development Centre (CPD) as they build their professional identity. CPD helps students explore and develop their interests through programs that help them find a legal mentor, meet lawyers practicing in many areas of law, visit offices where lawyers practice, and explore other careers. Through in-person counselling sessions at law schools each year with an CPD advisor, students create a personal career plan designed to help them identify and achieve their career goals. Firearms Act and Second AmendmentLEX 7319 Cr. 2 This course focuses on legal issues involving weapons.

We will examine the origins, dynamics and evolution of the Second Amendment and discuss Heller, McDonald and the difficult issues that arose in its wake. This course also covers other topics, including First Amendment issues, state constitutions, and various state and federal laws that restrict who can own firearms, where they can be held, and how they should be treated. Notes: Registration is limited to a total of 12 students. Banking LawLEX 7045 Cr. 2 The course will examine the legal environment of the banking sector. Topics examined include the history and scope of banking in the United States, legal requirements for chartered and operating banks, federal and state regulatory oversight, business and consumer credit, deposit insurance, lenders` liability, bank failures, and recent developments in banking regulation and legislation.
